Terms of Service

These Terms of Service ("Terms") govern your use of the Parts Diagram app ("the App") distributed via the Shopify App Store. By installing or using the App, you ("Merchant" or "you") agree to these Terms. If you do not agree, do not install the App.

These Terms supplement Shopify's Partner Program Agreement and API Terms of Service. Where those Shopify-level terms conflict with anything here, the Shopify terms prevail.

1. License grant

Subject to your compliance with these Terms, AllCommerce LLC grants you a non-exclusive, non-transferable, revocable license to install and use the App on your Shopify store(s) for the term of your subscription.

The App's source code, design assets, trademarks, and the "Parts Diagram" and "Papathemes" names remain the exclusive property of AllCommerce LLC.

2. Permitted use

You may use the App to:

  • Upload diagram images that you own or have a documented license to use, and overlay product-mapping hotspots on them.
  • Display the resulting diagrams on your Shopify storefront via the Theme App Extension block.
  • Export and import your own diagram data via the in-app tools.

3. Prohibited use

You must not:

  • Upload images for which you do not own copyright or hold a valid licence. You are solely responsible for the content of any image you upload — see §7 Indemnity.
  • Use the App to scrape, mirror, or republish another merchant's product catalogue.
  • Attempt to bypass the App's billing or rate-limit controls, reverse engineer the App, or interfere with its security mechanisms.
  • Use the App to facilitate fraud, copyright infringement, or any activity prohibited by applicable law or the Shopify Acceptable Use Policy.
  • Resell, sublicense, or expose the App's API surface to third parties.

AllCommerce LLC may suspend or terminate your access for any breach of this section, with or without notice, depending on severity.

4. Pricing, billing, and refunds

4.1 Plans

The App offers a Free plan and paid plans (Starter, Professional, Business). Plan limits and prices are shown in the Shopify admin under Apps → Parts Diagram → Billing and on the Shopify App Store listing page. Prices may change with at least 30 days' notice to existing subscribers.

4.2 How billing works

All paid plans are billed through Shopify's Billing API. Charges appear on your Shopify invoice and are processed in USD. If your Shopify shop operates in a non-USD currency, Shopify converts the USD charge at its own exchange rate at the time of billing. The App always discloses "All charges are billed in USD." on the in-app Billing page when your shop currency is not USD.

4.3 Trial

Where a free trial is offered, it begins on the date you accept the charge in Shopify. At the end of the trial, Shopify automatically converts the trial to a paid charge unless you downgrade to Free before the trial ends.

4.4 Refunds

Subscription charges are non-refundable for partial billing periods. You may downgrade or cancel at any time from Apps → Parts Diagram → Billing; you keep paid-tier features until the end of the current billing period.

If you believe you have been charged in error, contact support@papathemes.com within 14 days of the charge. We respond within 2 business days.

5. Service level

The App is provided "as is" without service-level guarantees. We target 99.5% monthly uptime on commercially reasonable best-effort basis. Maintenance windows are announced in the admin Dashboard at least 24 hours in advance where possible.

The App depends on the Shopify platform, AWS infrastructure (US-East-1), and the merchant's chosen theme. Outages or behavioural changes in any of these may cause App degradation that is outside our control.

6. Disclaimer of warranties

To the maximum extent permitted by applicable law, the App is provided without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. AllCommerce LLC does not warrant that the App will be uninterrupted, error-free, or that defects will be corrected.

7. Indemnity

You agree to indemnify and hold AllCommerce LLC harmless from any claim, liability, damage, or expense (including reasonable legal fees) arising from:

  • Content you upload to the App (diagram images, hotspot labels, product mappings), including any copyright, trademark, or privacy-rights infringement claim.
  • Your use of the App in violation of these Terms, the Shopify Partner Program Agreement, or any applicable law.
  • Disputes between you and a third party (including your customers) arising from your use of the App.

8. Limitation of liability

To the maximum extent permitted by applicable law, AllCommerce LLC's aggregate liability under these Terms is limited to the total App fees you paid in the 12 months immediately preceding the event giving rise to the claim. AllCommerce LLC is not liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

This limitation does not apply where prohibited by mandatory law (for example, gross negligence or wilful misconduct).

9. Privacy

The App's data-handling practices are documented in our Privacy Policy. By accepting these Terms you also accept the Privacy Policy.

10. Termination

10.1 By you

You may terminate by uninstalling the App from your Shopify admin at any time. Uninstall triggers Shopify's app/uninstalled webhook; your OAuth token is revoked immediately. 48 hours later, Shopify fires shop/redact and we cascade-delete every row associated with your shop, as described in the Privacy Policy §5.

10.2 By us

We may terminate or suspend your access if you breach these Terms, if your Shopify subscription lapses, or if the App is discontinued.

10.3 Effect of termination

On termination, your right to use the App ends immediately. Sections that by their nature survive termination — including §1 (ownership), §6 (warranty disclaimer), §7 (indemnity), §8 (liability limit), §11 (governing law) — survive.

11. Governing law and dispute resolution

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-laws rules.

Any dispute arising under or relating to these Terms shall first be attempted to be resolved by good-faith negotiation between the parties for 30 days. If unresolved, the dispute shall be submitted to binding arbitration administered by the Vietnam International Arbitration Centre (VIAC) under its rules in force at the time of submission. The seat of arbitration is Ho Chi Minh City, Vietnam. The arbitration shall be conducted in English. The arbitral award is final and binding on the parties.

Nothing in this section limits either party's right to seek injunctive relief in a court of competent jurisdiction in Vietnam for infringement of intellectual-property rights.

12. Changes to these Terms

We may update these Terms from time to time. Material changes (new limitation, new fee structure, change of governing law) will be notified at least 30 days in advance via the App's admin Dashboard banner and an email to the address on file in your Shopify store.

Continued use of the App after the effective date of an update constitutes acceptance of the updated Terms. If you do not accept the updated Terms, your remedy is to uninstall the App before the effective date.
